South Africa’s Competition Tribunal clears WBHO acquisition of solar project specialist Zamori

South Africa’s Competition Tribunal has approved without conditions the acquisition by WBHO Construction Pty Ltd of shares in Zamori 172 Pty Ltd, paving the way for WBHO to assume sole control of the solar focused business.

WBHO operates as part of a broader construction group with established activities in building and civil engineering across South Africa. Within the renewable energy segment, the company is active primarily as a main contractor under Engineering Procurement and Construction contracts, where it takes responsibility for the full delivery of projects.

In this role, WBHO oversees project execution and typically appoints specialised subcontractors and suppliers to carry out specific components of the work across the project lifecycle.

Zamori, which trades as DPRO Project Management Services, is a niche player in the solar energy sector with a footprint concentrated in the Free State and North West provinces. The company provides project management and specialist installation services for solar developments.

Its scope of work includes installation of solar components, limited procurement of installation materials and management of the installation phase of solar farm projects. This extends to involvement in project design, engineering and procurement functions.

The Tribunal found no competition concerns arising from the transaction, allowing the deal to proceed without conditions. The acquisition is expected to enhance WBHO’s in house capabilities in solar project delivery at a time of sustained growth in South Africa’s renewable energy sector.
